PeopleHarbor Tenant Owner Terms of Service

1. Agreement

By creating, accepting, or administering a tenant account in PeopleHarbor, you agree to these Tenant Owner Terms on behalf of the organization you represent. You confirm that you have authority to bind that organization.

2. Service

PeopleHarbor provides tenant-based software for workforce operations, employee records, onboarding, scheduling, certifications, messaging, inventory, billing visibility, and related integrations. We may update, add, or remove features as the product evolves.

3. Tenant Owner Responsibilities

You are responsible for your tenant account, authorized users, role assignments, permissions, uploaded content, employee data, integrations, and compliance with laws that apply to your organization, employees, contractors, and locations.

4. Account Access and Security

You must provide accurate account and billing information, keep credentials secure, promptly remove access for users who should no longer use the service, and notify us of suspected unauthorized access.

5. Customer Data

You retain ownership of data submitted to PeopleHarbor. You grant us the right to host, process, transmit, back up, and display Customer Data as needed to provide, secure, support, improve, and bill for the service.

6. Sensitive Data

You are responsible for determining whether the service is appropriate for the data you upload. Do not submit regulated data requiring special handling, including HIPAA-protected health information, unless we have signed a separate written agreement covering that data.

7. Privacy and Security

We will use reasonable administrative, technical, and organizational safeguards designed to protect Customer Data. You are responsible for required employee notices, consents, privacy disclosures, and lawful collection of personal information.

8. Billing and Payment

Your organization is responsible for subscription, usage, module, location, employee, integration, tax, and other agreed charges. Billing may be invoiced or processed through our payment provider. Failure to pay may result in restricted access, suspension, or termination after notice.

9. Third-Party Services

PeopleHarbor may integrate with third-party services such as payment processors, email providers, storage providers, or business systems. Third-party services are governed by their own terms, and we are not responsible for third-party acts or outages.

10. Acceptable Use

You may not use the service unlawfully, interfere with service operation, attempt unauthorized access, bypass security controls, upload malicious content, misuse messaging features, or use the service to violate another party's rights.

11. Availability and Support

We aim to provide reliable service but do not guarantee uninterrupted availability. Support channels, response times, and service levels may be defined separately.

12. Confidentiality

Each party may receive nonpublic business, technical, or operational information from the other. Each party will use reasonable care to protect confidential information and use it only for the relationship under these terms.

13. Intellectual Property

We retain ownership of PeopleHarbor, including software, workflows, designs, documentation, and product improvements. You retain ownership of Customer Data and organization-specific content.

14. Disclaimers

The service is provided "as is" and "as available" except as expressly stated in a separate written agreement. We disclaim implied warranties to the maximum extent permitted by law.

15. Limitation of Liability

To the maximum extent permitted by law, our total liability for claims related to the service will not exceed the amounts paid by your organization for the service during the three months before the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, or punitive damages.

16. Termination

Either party may terminate as allowed by the applicable order, invoice, or written agreement. After termination, access may be disabled, but we may retain data as needed for backups, legal obligations, fraud prevention, billing, audit, and dispute resolution.

17. Updates to These Terms

We may update these terms. Non-material updates may become effective after notice. Material updates require tenant owner acceptance before continued owner access to the tenant. Continued use after an accepted update means the updated terms apply.

18. Governing Law and Venue

These terms are governed by Pennsylvania law, excluding conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state or federal courts located in Pennsylvania.

19. Electronic Agreement

You agree that electronic acceptance, checkbox confirmation, typed signature, audit logs, IP address, timestamp, and user-agent records may be used to show acceptance of these terms.
